Terms and Conditions for Submission and Use of Photographs and Videos

Introduction

• These Terms and Conditions govern the submission and use of photographs and videos (“Media”) submitted by you to Tropeaka. For the purposes of these Terms and Conditions, “Tropeaka” refers to Tropeaka Pty Ltd and includes its affiliated companies, subsidiaries, and parent companies within the Tropeaka group of companies.

• By submitting any Media to Tropeaka, you agree to these Terms and Conditions.

• You hereby grant Tropeaka a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the submitted Media (in whole or part) and/or to incorporate it in other works in any form, media, or technology now known or later developed for any purpose including, but not limited to, advertising, promotion, and marketing.

• You represent and warrant that you are the sole owner of the Media and have full authority to grant these rights.
• You represent and warrant that the Media does not infringe upon the rights of any third parties, including but not limited to copyright, trademark, privacy, and publicity rights.

• If the Media contains images or information about individuals other than yourself, you represent and warrant that you have obtained the necessary consents and permissions from those individuals for the use of their likeness or information in accordance with these Terms and Conditions.

• The submission of Media does not obligate Tropeaka to use or publish the Media. Tropeaka retains the discretion to select the Media for use in its advertising, social media, and marketing campaigns.

• You agree to indemnify and hold harmless Tropeaka and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of any representation or warranty made by you herein or your violation of any law or the rights of a third party.

• These Terms and Conditions are governed by the laws of New South Wales, Australia.
• Tropeaka reserves the right to change these Terms and Conditions at any time without prior notice.
